Software License Agreement in Vietnam: Template, Key Clauses and Local Law (2026)

What a software license agreement does A software license agreement lets a customer use software that someone else owns. The owner keeps the copyright and grants a defined right to use the software, on set terms, for a fee. It answers who may use it, on what, where, for how long, and what they may not do with it. Software is licensed, not sold. The license is the document that keeps ownership with the developer while giving the customer a controlled right to run the code. This is a general guide to Vietnamese law, not legal advice. See the note at the end. ## How Vietnamese law protects software In Vietnam, software is protected by copyright. The Law on Intellectual Property (Law No. 50/2005/QH11, as amended, most recently by Law No. 07/2022/QH15) protects computer programs as works, in the same family as literary works, and protection arises on creation. Registration with the copyright office is not compulsory to hold copyright, but a registration certificate helps prove ownership in a dispute. Two layers of general law apply around the IP: - The Civil Code 2015 governs the contract itself, on formation, performance, and remedies.
- The Commercial Law 2005 applies where the license is a commercial activity between traders, including its rules on penalties and damages. ## The technology-transfer registration trap Vietnam has a feature that catches many foreign licensors by surprise. Under the Law on Technology Transfer 2017, which took effect on 1 July 2018, registration of a technology transfer became mandatory in several cases, including transfers from abroad into Vietnam and from Vietnam abroad. Where a software deal is structured or characterised as a transfer of technology (not just a plain copyright license), the Vietnamese party may have to register the transfer with the authorities, and the registration of any associated IP rights follows the Law on Intellectual Property as a separate process. Practical point: decide early whether your deal is a pure software license or a technology transfer, because the second can trigger a registration duty. A later amendment to the Technology Transfer Law took effect in December 2025, so confirm the current registration triggers before you rely on an older summary. ## License or assignment? Decide first - A license leaves copyright with the owner and grants a right to use. Most SaaS and off-the-shelf deals are licenses.
- An assignment transfers ownership and, under the Law on Intellectual Property, should be in writing. Bespoke development where the buyer wants to own the result needs a written assignment. Many deals mix the two: the customer owns bespoke deliverables while the developer keeps and licenses its pre-existing tools. Spell out which is which. ## Key clauses in a Vietnamese software license agreement ### 1. Grant and scope State what is licensed, and whether the license is exclusive or non-exclusive, perpetual or term, territorial or worldwide, and whether it is transferable or sublicensable. ### 2. Restrictions List prohibited uses: no reverse engineering (subject to mandatory exceptions), no redistribution, no exceeding agreed user or device counts. ### 3. Ownership and background IP Confirm the licensor keeps ownership. Where bespoke work is created, say whether the customer gets a written assignment or only a license. ### 4. Technology-transfer characterisation State expressly whether the deal is a license or a technology transfer, and allocate responsibility for any registration under the Law on Technology Transfer 2017. ### 5. Fees, payment, and tax Set the fee model and payment. Vietnamese value-added tax applies to many software supplies, and cross-border licensing can attract foreign-contractor tax, so allocate tax expressly. ### 6. Support, maintenance, and updates Say whether support and updates are included and on what service levels. ### 7. Warranties, IP indemnity, and liability Warrant the right to license, indemnify against third-party IP claims, and cap liability. If a penalty for breach is used, respect the 8 percent cap under the Commercial Law 2005. ### 8. Open-source components Disclose open-source elements and flow down their license terms. ### 9. Data protection If the software processes personal data, align with the Law on Personal Data Protection (Law No. 91/2025/QH15), in force since 1 January 2026. ### 10. Term, termination, and language Set the term and termination and the effect on use. Where a Vietnamese party is involved, a Vietnamese-language version may be needed, with a prevailing-language clause. ## A simple structure you can reuse 1. Parties and definitions
- License grant and scope
- Restrictions
- Ownership, background IP, and assignment (if any)
- Technology-transfer characterisation and registration
- Fees, payment, and tax
- Support, maintenance, updates
- Warranties, IP indemnity, liability
- Open-source disclosure
- Data protection
- Term, termination, language, governing law
- Schedules: the software, fees, service levels ## Common mistakes - Not spotting that a deal counts as a technology transfer and missing the registration duty under the Law on Technology Transfer 2017.
- Treating copyright registration as compulsory (it is not) or ignoring it entirely (it helps prove ownership).
- Forgetting foreign-contractor tax on cross-border licensing.
- Writing a penalty above the 8 percent Commercial Law cap.
- No Vietnamese-language version where one is needed. ## Keeping software licenses consistent as you sign more of them A software business signs the same license repeatedly, with different grant scopes, seat counts, tax treatment, and renewal dates, and in Vietnam the extra trap is the deal that should have been registered as a technology transfer but was not. The work of drafting from a house template, checking ownership, registration, and tax language, surfacing a non-standard liability cap, and tracking renewals can live in one AI contract workspace rather than scattered files. Adira is an AI legal operating system that drafts, reads, and tracks contracts in one place, tuned to how your company contracts and built on frontier AI; its deepest jurisdiction support today is India, with other jurisdictions including Vietnam on the roadmap, so confirm local-law depth before relying on it. ## Not legal advice This page is a general explanation of software license agreements under Vietnamese law in 2026. It is not legal advice. Whether a deal is a license or a technology transfer, the registration and tax duties, and permitted liability terms depend on your facts, so take advice from a qualified Vietnamese lawyer before you sign.
Frequently asked questions
- How is software protected in Vietnam?
- Software is protected by copyright under the Law on Intellectual Property (Law No. 50/2005/QH11, as amended), which protects computer programs as works. Protection arises on creation; registration is not compulsory but a certificate helps prove ownership in a dispute.
- Does a software license need to be registered in Vietnam?
- A pure copyright license generally does not require registration. But if the deal is characterised as a transfer of technology, the Law on Technology Transfer 2017 can make registration mandatory, including for transfers into or out of Vietnam. Decide the characterisation early and confirm the current triggers.
- Is there a cap on penalty clauses in a Vietnamese software license?
- Where the Commercial Law 2005 applies, a contractual penalty for breach is capped at 8 percent of the value of the breached obligation for most commercial contracts. Keep any penalty within that limit; actual damages are handled separately.
- Does Vietnamese tax apply to software licensing?
- Value-added tax commonly applies to software supplies, and cross-border licensing can attract foreign-contractor tax. Allocate tax expressly in the agreement and confirm the current treatment with a tax adviser.
